StackERP Solutions Private Limited (hereinafter referred to as "StackERP," "Company," "we," "us," or "our") is a provider of comprehensive School Enterprise Resource Planning (ERP) Software-as-a-Service (SaaS) solutions designed specifically for educational institutions in India and internationally. This Refund & Cancellation Policy ("Policy") sets forth the terms and conditions governing the refund and cancellation of services provided by StackERP Solutions Private Limited.
This Policy is intended to be comprehensive, transparent, and fair to all customers while protecting StackERP Solutions Private Limited's legitimate business interests. By accessing or using any of StackERP's services, subscribing to our platforms, or entering into any agreement with StackERP Solutions Private Limited, customers ("Customer," "you," or "your") hereby acknowledge and agree to be bound by the terms and conditions contained in this Policy.
This Policy must be read in conjunction with StackERP's Terms & Conditions of Service, Privacy Policy, Service Level Agreement (SLA), and any other agreements or contractual arrangements between StackERP Solutions Private Limited and the Customer.
This Policy applies to all services offered by StackERP Solutions Private Limited, including but not limited to:
Subscriptions to StackERP's services are available on a recurring monthly, quarterly, half-yearly, or annual basis. The Customer shall select the subscription period at the time of purchase. Each subscription period automatically commences upon successful payment and the activation of the Customer's account.
A subscription shall be deemed activated upon the issuance of login credentials to the Customer, the provisioning of cloud infrastructure resources, and the commencement of service delivery. Once a subscription has been activated, the Customer's right to seek a refund for the subscription fees shall be strictly limited and governed by the terms specified in this Policy.
If a Customer has procured multiple subscriptions or instances (e.g., separate instances for different school branches), each subscription shall be treated as an independent service, and the refund and cancellation policies shall apply separately to each subscription unless StackERP agrees otherwise in writing.
StackERP Solutions Private Limited accepts payments through multiple secure, PCI-compliant methods including credit cards, debit cards, Net Banking, UPI, mobile wallets, and bank transfers. All pricing is displayed in Indian Rupees (INR). Formal invoices are issued upon receipt of payment, clearly specifying service descriptions, subscription periods, applicable taxes (GST), and total amounts charged.
The Customer may request cancellation of their subscription at any time by submitting a written request through designated contact channels or via the StackERP portal. For annual subscriptions, a minimum of thirty (30) days' written notice prior to the end of the subscription period is requested. Upon cancellation submission, StackERP shall process the request within three (3) to five (5) business days, disable access to services on the effective date of cancellation, retain data in accordance with the SLA, and issue a formal confirmation of cancellation.
It is expressly stated that subscription cancellation does NOT automatically entitle the Customer to any refund. Cancellation merely terminates the Customer's right to use the services going forward. The Customer shall not be eligible for a refund of subscription fees already paid unless the conditions specified in the Refund Eligibility or Exceptional Refund Cases sections are satisfied.
StackERP Solutions Private Limited reserves the right to suspend, restrict, or terminate the Customer's subscription for: non-payment or overdue payment exceeding fifteen (15) days; violation of Terms & Conditions; unauthorized access or hacking attempts; fraud or misrepresentation; illegal activity; transmission of malware; harassment; repeated policy violations; intellectual property violations; or business closure/bankruptcy.
For minor violations, StackERP may initially suspend services. For serious violations, immediate termination is possible without prior notice. Where practicable and legally permissible, StackERP shall provide written notice of termination via email at least seven (7) days prior to the effective termination date.
Upon the expiration of the subscription period, the Customer's right to access the services shall automatically cease unless renewed. StackERP shall provide access to download the Customer's data for a grace period of thirty (30) days after expiration, after which the data shall be permanently deleted in accordance with the data retention policy. The Customer is solely responsible for backing up and exporting all data before subscription expiry. StackERP shall not be held liable for any data loss.
Unless the Customer provides explicit written notice of cancellation at least thirty (30) days prior to the end of the subscription period, subscriptions shall automatically renew for an equivalent period at prevailing renewal rates. StackERP shall send email notifications at least fifteen (15) days prior to the renewal date. Price changes shall be communicated at least thirty (30) days prior to renewal. The Customer may cancel to avoid price increases.
Refunds for subscription fees shall be considered only if a written request is submitted within seven (7) calendar days of subscription activation and provided that: (a) the Customer has not meaningfully used the services; (b) the Customer has not downloaded or exported data; and (c) the Customer has not received custom development or implementation services. The decision to approve or deny refunds is entirely at StackERP's discretion. Approved refunds shall be processed to the original payment method within thirty (30) days.
The following payments and charges are expressly deemed non-refundable under any circumstances, except as required by law:
In the exceptional event that StackERP fails to deliver core services for a continuous period exceeding seven (7) days due solely to StackERP's negligence, the Customer may be eligible for a partial pro-rata refund of subscription fees. If a payment is determined to have been made through fraudulent means or unauthorized use, StackERP shall refund the payment in full upon verification.
If the Customer inadvertently makes duplicate payments, the Customer must notify StackERP within five (5) business days. Upon verification, StackERP shall either refund the duplicate amount or adjust it against future invoices at the Customer's request.
If a payment transaction fails, the Customer's account shall not be activated. If funds were deducted despite failed transaction notification, StackERP shall investigate and refund the amount within five (5) to ten (10) business days.
StackERP is not responsible for errors or failures initiated by third-party payment gateways or financial institutions. However, if StackERP detects that a payment gateway error resulted in incorrect charging, StackERP shall investigate and refund or credit the erroneous amount within ten (10) to fifteen (15) business days.
StackERP shall dispute all chargebacks through available channels. The Customer's account shall be suspended pending resolution. If the chargeback is upheld against StackERP, it shall accept the reversal. If the chargeback is determined to be frivolous and the Customer authorized the transaction, StackERP reserves the right to pursue recovery of chargeback reversal amount and associated fees.
All prices are exclusive of Goods and Services Tax (GST) unless stated otherwise. GST shall be calculated at the applicable rate (currently 18% for software services) as prescribed by CBIC. GST is non-refundable except where required by law or tax authority order. GST-registered businesses may claim Input Tax Credit (ITC) on GST paid. StackERP shall provide valid GST invoices supporting such claims.
Optional add-on services include additional user licenses, premium modules, advanced analytics, AI-powered features, enhanced reporting, and priority support. Once activated and provisioned, all add-on charges are non-refundable. The Customer shall be informed of all add-on charges before activation.
Large-scale enterprise implementations are subject to separate enterprise implementation fees covering personnel costs, infrastructure provisioning, and project management. Enterprise implementation charges are entirely non-refundable once implementation commences, regardless of project completion or Customer abandonment. This applies to all work performed, resources allocated, and infrastructure provisioned.
StackERP may undertake custom software development projects. Custom development charges are entirely non-refundable upon commencement of development work, including all phases: requirements gathering, design, coding, testing, and deployment. No refunds are granted for midway cancellation, dissatisfaction, budget/timeline overruns, or changed business circumstances.
StackERP offers white label solutions for platform resale under the Customer's branding. White label development involves customization, rebranding, and deployment with the Customer's logo, color scheme, domain, and branding. All white label development charges are non-refundable upon implementation commencement. White label customers must maintain active white label license subscriptions, which are also non-refundable after activation.
StackERP provides data migration services involving extraction, transformation, validation, and loading of data. All data migration charges are non-refundable upon commencement of migration activities. The Customer is responsible for maintaining complete backups of original data before migration. StackERP shall not be liable for data loss except where directly attributable to StackERP's gross negligence.
StackERP develops and deploys native mobile applications for iOS and Android platforms. Mobile application charges include development, coding, app store submission and approval fees, account management, updates for OS compatibility, and bug fixes. All charges are entirely non-refundable once development commences, including app store fees and developer program subscriptions.
StackERP offers API integration services to connect the School ERP system with third-party applications. Integration includes API documentation, development, testing, and deployment. All API integration charges are non-refundable after implementation commences, regardless of integration quality or technical challenges.
StackERP integrates SMS, WhatsApp Business API, and Email for school communications. Communication charges are usage-based (per-message or per-credit basis) and billed from prepaid balance or invoice basis. All SMS, WhatsApp, Email, and OTP charges are entirely non-refundable once messages are delivered or sent to service providers. Upon subscription cancellation, communication service access terminates and remaining prepaid balances are forfeited.
StackERP relies on third-party service providers including cloud infrastructure, SMS gateways, email providers, payment processors, CDN providers, domain registrars, and SSL authorities. All third-party charges (Cloud Hosting, Domain Registration, SSL Certificates, Payment Gateway Fees, CDN charges, API subscription fees, vendor charges) are entirely non-refundable. StackERP shall not be liable for third-party failures; remedies are limited to the third-party provider or the Limitation of Liability clause.
StackERP may offer free trial access (typically 14–30 days) to prospective customers. Free trials are provided on an "as-is" basis with limited functionality and support. Upon expiration, access terminates unless upgraded to a paid subscription. Trial data is deleted per the data retention policy (typically 30 days after expiration). StackERP provides 7-day advance notice of trial expiration. Free trials are non-refundable by definition; inadvertent charges shall be investigated and refunded.
StackERP may offer promotional discounts, coupons, vouchers, or special pricing. Promotional offers are subject to specific terms and conditions. Promotional discounts are non-refundable once applied and activated. Re-activated subscriptions shall not automatically receive the same discount unless StackERP agrees in writing. Promotional vouchers are subject to expiration dates; unredeemed vouchers expire and possess no cash value.
Force majeure includes unforeseen circumstances beyond reasonable control: natural disasters, pandemics, governmental actions, war, terrorism, labor strikes, internet outages, and acts of God. Upon force majeure preventing service delivery, StackERP shall notify the Customer within 48 hours and undertake reasonable efforts to restore services. Customers may not claim refunds for force majeure disruptions unless exceeding 14 consecutive days.
To the fullest extent permitted by law, StackERP and its officers, directors, employees, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from data loss, revenue loss, business opportunity loss, service interruptions, unauthorized data access, software errors, bugs, defects, or any service use or misuse. StackERP's total aggregate liability shall not exceed the total fees paid by the Customer for subscriptions in the 12 months preceding the liability event.
This Policy is governed by and construed in accordance with Indian laws, specifically laws applicable in Rajasthan State, without regard to conflict of law principles. Governing laws include: Indian Contract Act, 1872; Information Technology Act, 2000; Consumer Protection Act, 2019; Goods and Services Tax Act, 2017; Companies Act, 2013; and all other applicable central and state laws, rules, and regulations.
The Customer irrevocably submits to the exclusive jurisdiction of courts located in Jaipur, Rajasthan, India, for resolving disputes, claims, or controversies arising from this Policy, service refund/cancellation, or use of the StackERP platform. Both parties consent to non-exclusive Jaipur court jurisdiction. Before formal legal proceedings, parties may seek dispute resolution through good faith negotiation. Upon negotiation failure, either party may pursue remedies through arbitration or litigation as prescribed by applicable law.
StackERP reserves the right to modify, update, or revise this Policy at any time at its sole discretion for legal requirements, business practices, or operational changes. Material changes shall be communicated to existing customers via registered email addresses at least 30 days prior to the effective date. The updated Policy shall be published on StackERP's official website. Continued service use following updated Policy publication constitutes acceptance of the modified terms. Disagreeing customers may cancel before changes take effect.
